What constitutes forced deregistration /deletion?

 

Compulsory deletion is a procedure ordered ex officio by the court of registration, which is initiated if the company:

  • fails to comply with its obligations under the law,

  • not available to the authorities,

  • fails to meet reporting or tax obligations,

  • does not engage in actual economic activity.

During the procedure, the company is dissolved, but the liability of the managing director does not automatically cease.

 

 

 

 

Managerial liability in case of forced deletion

 

According to the current legislation, during forced deletion:

  • the lawful conduct of the senior official can be examined,

  • the underlying responsibility can be established,

  • the tax authority may initiate an independent procedure,

  • a driving ban may apply.
